Welcome to GUTLETE Inc. (“GUTLETE”, “we”, “us”, or “our”). We operate this store and website, including all related information, content, features, tools, products, and services, to provide you (the “customer” or “you”) with access to our gut health products and a curated shopping experience (collectively, the “Services”). Our online store is powered by Shopify Inc. (“Shopify”), which enables us to provide the Services to you.

These Terms of Service (these “Terms”), together with any policies referenced or linked herein (including our Privacy Policy, Shipping Policy, and Refund Policy), describe your rights and responsibilities when you use the Services.

Please read these Terms carefully, as they contain important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting, accessing, or using the Services, including browsing our site or purchasing products from us, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you must not access or use the Services.

SECTION 1 – ACCESS AND ACCOUNT

By agreeing to these Terms, you represent that you are at least the age of majority in your province or territory of residence, and that you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services, including accessing, browsing, or purchasing products from our online store, you may be required to provide certain information such as your name, email address, billing information, payment details, and shipping address. You represent and warrant that all information you provide is true, accurate, current, and complete, and that you have all necessary rights to provide such information.

You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account. You may not transfer, sell, assign, or license your account to any other person.

SECTION 2 – OUR PRODUCTS

Gutlete focuses on gut health products, including but not limited to prebiotic fibre blends and related nutritional products. We aim to present our products as accurately as possible in our online store. However:

  • Colours, textures, and packaging may appear differently depending on your device, screen settings, and lighting.

  • We do not warrant that any product images, descriptions, or other content precisely reflect the product as delivered.

All product descriptions, formulations, and pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time and to limit the quantities of any products or Services that we offer, including by person, household, geographic region, or jurisdiction, on a case-by-case basis.

Our products are not intended to diagnose, treat, cure, or prevent any disease. You should always consult with a qualified healthcare professional before making changes to your diet, supplement routine, or health regimen.

SECTION 3 – ORDERS

When you place an order through our store, you are making an offer to purchase the products in your cart. GUTLETE Inc. reserves the right, in its sole discretion, to accept or decline any order for any reason, including but not limited to product availability, suspected fraud, or errors in pricing or product information.

Your order is not accepted until we (i) receive and successfully process your payment and (ii) send an order confirmation email indicating that your order has been accepted.

Please review your order carefully before submitting. Once an order is accepted and processing has begun, we may be unable to accommodate cancellation or modification requests. If we do not accept, need to change, or must cancel an order in whole or in part, we will attempt to notify you using the email address, billing address, and/or phone number provided at the time of order.

Your purchases are subject to our Refund / Returns Policy, which is incorporated by reference into these Terms and can be accessed on our website.

You represent and warrant that all products you purchase are for your own personal, household, or non-commercial use and not for resale or export.

SECTION 4 – PRICES AND BILLING

All prices for products and Services are shown in Canadian dollars (CAD) unless otherwise indicated. Prices, discounts, and promotions are subject to change at any time without notice.

The price charged for a product will be the price in effect at the time your order is placed and will be reflected in your order confirmation email. Unless expressly stated otherwise, posted prices do not include applicable taxes, shipping, handling, customs, or import charges. These additional amounts (where applicable) will be calculated and shown at checkout.

Prices in our online store may differ from prices offered in other channels (for example, in-person events, other online marketplaces, or third-party retailers). From time to time, we may offer promotions, discounts, or bundles that are subject to separate terms and conditions. In the event of a conflict between promotion-specific terms and these Terms, the promotion-specific terms will govern for that promotion.

You agree to provide current, complete, and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account details, including email address, billing address, shipping address, and payment information, so that we can complete your transactions and contact you as needed.

You represent and warrant that:

  1. The payment information you provide is true, correct, and complete;

  2. You are duly authorized to use the chosen payment method;

  3. Charges incurred by you will be honoured by your payment provider; and

  4. You will pay all charges incurred by you at the prices in effect at the time of purchase, including any applicable taxes, shipping, and handling.

SECTION 5 – SHIPPING AND DELIVERY

We currently ship within Canada only. Details on our current shipping rates and delivery estimates are set out in our Shipping Policy, which is incorporated by reference and available on our website.

  • Standard shipping within Canada is currently offered at a flat rate (e.g., $6.99 CAD) and estimated delivery timelines are provided at checkout and/or in our Shipping Policy.

  • All delivery times are estimates only and are not guaranteed.

We are not liable for delays in shipping or delivery caused by carriers, weather, customs, operational disruptions, or any events beyond our reasonable control. 

If your order appears lost, damaged, or incorrect upon arrival, please refer to our Shipping Policy and contact us using the information provided in Section 24.

SECTION 6 – INTELLECTUAL PROPERTY

The Services and all content within them, including but not limited to trademarks, branding, logos, text, graphics, images, product designs, icons, page layouts, audio, video, and other materials, are owned by GUTLETE Inc., its affiliates, or its licensors, and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Services, except as necessary for your personal, non-commercial use;

  • Use any illustrations, photographs, video, audio, or graphics separately from accompanying text; or

  • Remove or alter any copyright, trademark, or other proprietary rights notices.

Except as expressly provided in these Terms, nothing in the Services or in these Terms shall be construed as granting any license or other rights under any patent, trademark, copyright, or other intellectual property right of GUTLETE Inc., Shopify, or any third party.

“GUTLETE”, “GUTLETE Inc.”, our logos, product names (including any gut health formulations), and related designs and slogans are trademarks or trade dress of GUTLETE Inc. or its affiliates. You must not use these marks without our prior written permission. Shopify’s name, logos, and marks are trademarks of Shopify Inc. All other names, logos, product and service names, designs, and slogans appearing on the Services are the trademarks of their respective owners.

SECTION 7 – OPTIONAL TOOLS

From time to time, we may provide access to tools, features, or integrations operated by third parties as part of the Services (for example, review widgets, subscription management apps, or payment tools), which we do not monitor and over which we have no control.

You acknowledge and agree that we provide access to such tools “as is” and “as available” without warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use of optional tools offered through the Services is entirely at your own risk and discretion. You should ensure that you are familiar with and agree to the terms on which tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new features, tools, or resources through the Services. Any new features or tools shall also be deemed part of the Services and subject to these Terms.

The Services may contain links or access to third-party websites, resources, content, or services (including embedded third-party functionality). These are provided for convenience only.

We do not control and are not responsible for examining or evaluating the content, privacy practices, or accuracy of any third-party materials or websites. If you choose to access these third-party resources, you do so at your own risk and subject to the terms and policies of those third parties.

We are not liable for any harm or damages related to your use of any third-party websites, products, services, or content. Complaints, claims, concerns, or questions regarding third-party products or services should be directed to the applicable third party.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

GUTLETE Inc. is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with GUTLETE Inc. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and GUTLETE Inc., including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with GUTLETE Inc.

SECTION 10 – PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy, which can be viewed on our website, and certain personal information may also be subject to Shopify’s Privacy Policy, which can be viewed on Shopify’s website. By using the Services, you acknowledge that you have read and understood these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes certain personal information about your access to and use of the Services to provide and improve the platform. Information you submit to the Services will be transmitted to and shared with Shopify, as well as with third parties that may be located outside your province or country, in order to provide the Services to you.

If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content to us (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium and for any purpose, including commercial purposes.

We may use these rights to operate, provide, evaluate, enhance, improve, and promote the Services and our products, and to perform our obligations and exercise our rights under these Terms.

You represent and warrant that:
(i) you own or have all necessary rights to provide all Feedback;
(ii) you have disclosed any compensation or incentives received in connection with your Feedback (where required by law); and
(iii) your Feedback complies with these Terms and all applicable laws.

We are under no obligation:

  1. To maintain any Feedback in confidence;

  2. To pay compensation for any Feedback; or

  3. To respond to any Feedback.

We may, but have no obligation to, monitor, edit, or remove Feedback that we determine in our sole discretion to be unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene, or otherwise objectionable or that violates any party’s intellectual property or these Terms.

You agree that your Feedback will not violate any right of any third party, including copyright, trademark, privacy, personality, or other personal or proprietary rights, and that it will not contain any harmful code or malware. You may not use a false email address or otherwise mislead us or third parties as to the origin of any Feedback. You are solely responsible for any Feedback you make and its accuracy.

SECTION 12 – ERRORS, INACCURACIES, AND OMISSIONS

From time to time, there may be information on the Services that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times, or availability.

We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information on the Services is inaccurate at any time without prior notice (including after you have submitted your order).

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GUTLETE INC., OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, OR SUPPLIERS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR ANY PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you, and you may have additional rights under applicable law.

SECTION 14 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless GUTLETE Inc., Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, service providers, and suppliers from and against any and all losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:

  1. Your breach of these Terms or any documents incorporated by reference;

  2. Your violation of any law or the rights of a third party; or

  3. Your access to or use of the Services or products purchased through the Services.

We will notify you of any claim that is subject to indemnification, provided that a failure to promptly notify you will not relieve you of your obligations unless you are materially prejudiced. We may, at our sole discretion, control the defence and settlement of any such claim at your expense. You agree to cooperate fully with us in the defence of any indemnified claim.

SECTION 15 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall be enforced to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity or enforceability of any other remaining provisions.

SECTION 16 – WAIVER; ENTIRE AGREEMENT

The failure by us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms, together with any policies or rules posted by us on the Services (including the Privacy Policy, Shipping Policy, and Refund Policy), constitute the entire agreement and understanding between you and us governing your use of the Services and supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.
